BANK ACTIVITY

Merger and Acquisition

On April 14, 2026, Santander Bank, National Association, a national bank, that is a direct subsidiary of Santander Holding, USA Inc., and indirect subsidiary of Banco Santander, S.A., headquartered in Wilmington, Delaware filed an acquisition statement and application pursuant to Sections 36a-184 and 36a-411 of the Connecticut General Statutes to acquire Webster Financial Corporation, a holding company, headquartered in Stamford, Connecticut. Also on April 14, 2026, Santander Bank, National Association, a national bank, headquartered in Wilmington, Delaware, filed an application pursuant to Section 36a-412 of the Connecticut General Statutes for the merger of Webster Bank, a national bank, headquartered in Stamford, Connecticut with and into Santander Bank, National Association, a national bank, that is a direct subsidiary of Santander Holding, USA Inc., and indirect subsidiary of Banco Santander, S.A.

CONSUMER CREDIT ACTIVITY

Bridge IT, Inc. d/b/a Brigit

On April 22, 2026, the Commissioner entered into a Consent Order with Bridge IT, Inc. d/b/a Brigit (NMLS # 2429907), (“Brigit”), New York, New York. The Consent Order was based on an investigation by the Consumer Credit Division which stemmed from Brigit’s application for licensure. As result of such investigation, the Commissioner alleged that, between January 1, 2024 and April 29, 2025, Brigit made four hundred nine (409) small loans to three hundred seventy three (373) Connecticut borrowers without the required license, in violation of Section 36a-556(a)(1) of the Connecticut General Statutes, in effect at such time, and received payments of principal and interest, in connection with such small loans, in violation of Section 36a-556(a)(4) of the Connecticut General Statutes, in effect at such time. As part of the Consent Order, Brigit paid $10,000 as a civil penalty and $400 as back licensing fees.
