Written comments will be considered only if they are received within ten days from the date of this bulletin.

State Bank Activity

Section 36a-145 of the Connecticut General Statutes requires that each application for a branch, or for a limited branch at which loans will be made, be accompanied by a plan detailing how adequate services to meet the banking needs of all community residents will be provided.  Plans are submitted when such applications are filed and are available for public inspection and comment at this Department for a period of 30 days.  Questions concerning branch activity should be directed to the Financial Institutions Division, (860) 240-8180.

FOREIGN BANK ACTIVITY
On June 26, 2006, pursuant to Section 36a-428a of the Connecticut General Statutes, the Commissioner issued a license to The Governor and Company of the Bank of Ireland to establish and maintain a state branch at 75 Holly Hill Lane, Greenwich, Connecticut.

ACQUISITION AND MERGER
On June 30, 2006, pursuant to Section 36a-184 of the Connecticut General Statutes, Webster Financial Corporation, a Delaware corporation, filed an acquisition statement for the acquisition of NewMil Bancorp, Inc., and indirectly, NewMil Bank.  Immediately following the acquisition, NewMil Bank will be merged with and into Webster Bank, National Association, a wholly-owned subsidiary of Webster Financial Corporation.

PETITION FOR DECLARATORY RULING
On June 21, 2006, a petition for a declaratory ruling was filed pursuant to Section 4-176 of the Connecticut General Statutes and Section 36a-1-84 of the Regulations of Connecticut State Agencies on behalf of Paul J. Pinto.  The petition seeks a declaratory ruling as to whether the Commissioner complied with Section 46a-80 of the Connecticut General Statutes in connection with the Commissioner’s May 16, 2006, denial of Paul J. Pinto’s originator registration.
