ACQUISITION AND MERGER

On August 13, 1998, pursuant to Section 36a-125 of the Connecticut General Statutes, approval was granted for the merger of Bank of South Windsor with and into New England Bank & Trust Company. The Commissioner also issued a notice of intent not to disapprove the acquisition by New England Community Bancorp, Inc. of 100% of the voting securities of Bank of South Windsor.

SECTION 36a-425 APPLICATION

On August 14, 1998, an application was filed by Republic Bancorp, Inc., a Michigan corporation, to establish an office of its subsidiary, Market Street Mortgage Corporation, a Michigan corporation, at 175 Capital Boulevard, Suite 103, Rocky Hill, Connecticut.
