ACQUISITION AND MERGER

On April 17, 1998, HUBCO, Inc., a bank holding company with its principal place of business in New Jersey, filed an application pursuant to Sections 36a-125, 36a-184 and 36a-411 of the Connecticut General Statutes for the acquisition, through merger, by HUBCO, Inc., of The Dime Financial Corporation and, indirectly, of 100% of the issued and outstanding common stock of The Dime Savings Bank of Wallingford, and the merger of The Dime Savings Bank of Wallingford with and into Lafayette American Bank. In connection with the proposed transactions, HUBCO Inc., The Dime Savings Bank of Wallingford and Lafayette American Bank have also filed a community reinvestment plan which is available for public inspection and comment at the Department of Banking for a period of 30 days.
