Acquisition
On December 23, 2011, pursuant to Section 36a-185 of the Connecticut General Statutes, the Commissioner issued a notice of intent not to disapprove the indirect acquisition by ING Investment Management Co. LLC, a newly-formed Delaware limited liability company, of 100% of the issued and outstanding shares of common stock of ING Investment Trust Co., a Connecticut-chartered trust bank, headquartered in Windsor, Connecticut, through the merger of its parent, ING Investment Management Co., with and into ING Investment Management Co. LLC

Merger
On December 23, 2011, the Commissioner, pursuant to Section 36a-125 of the Connecticut General Statutes and Section 15 of Connecticut Public Act No. 11-50, approved the merger of Northern Trust Global Advisors, Inc., a Delaware corporation, with and into its wholly-owned subsidiary, The Northern Trust Company of Connecticut, a Connecticut-chartered bank and trust company headquartered in Stamford, Connecticut.

CREDIT UNION ACTIVITY
Conversion

On December 21, 2011, pursuant to Section 36a-469b of the Connecticut General Statutes, SoundView Federal Credit Union, Bethel, Connecticut was granted approval to convert from a federal credit union to a Connecticut credit union.  The Connecticut credit union will be known as SoundView Financial Credit Union, Inc.  The proposed field of membership of the converted credit union consists of: (1) persons, who live, work, worship or attend school in Fairfield and Litchfield counties of Connecticut and businesses, corporations, organizations or associations located within such counties, (2) persons within the immediate family of a member, or deceased member, and (3) member, retirees, pensioners or annuitants and surviving spouses of any group eligible for this credit union.  The credit union also proposes to retain any employee groups, organizations associations and employees of groups previously approved by the National Credit Union Administration.
