NEW BANK ACTIVITY

On October 10, 2003, pursuant to Section 36a-70(i) of the Connecticut General Statutes, the Commissioner approved the application filed by the organizers of Customers' Bank (In Organization) to extend the period for which the Temporary Certificate of Authority is valid, from October 15, 2003 to February 16, 2004.

MONEY TRANSMITTER LICENSE ACTIVITY

On October 7, 2003, pursuant to Section 36a-600 of the Connecticut General Statutes, Caribbean Airmail, Inc., Miami, Florida, filed an application to engage in the business of money transmission.

ACQUISITION AND MERGER

On October 7, 2003, pursuant to Section 36a-185 of the Connecticut General Statutes, as amended by Public Act 03-259, the Commissioner issued a notice of intent not to disapprove the acquisition by Webster Financial Corporation of all the outstanding voting securities of The North American Bank & Trust Company. The acquisition will take place, pursuant to Section 36a-126(b) of the Connecticut General Statutes, through the merger of The North American Bank & Trust Company with and into Webster Bank, a wholly-owned subsidiary of Webster Financial Corporation.
