MAIN OFFICE RELOCATION

Pursuant to Section 36a-81 of the Connecticut General Statutes, on January 19, 1999, Tolland Bank received approval to relocate its main office from 670 Tolland Stage Road, Tolland, Connecticut to 348 Hartford Turnpike, Vernon, Connecticut.

MERGER

On January 21, 1999, the Banking Commissioner granted approval, pursuant to Section 36a-412(a)(1) of the Connecticut General Statutes, as amended by Public Act 98-177, to Hudson United Bank for the merger of Lafayette American Bank with and into Hudson United Bank.
