If the letter you received says "Notice of Intent to Dissolve or Revoke," you are on the correct page. If the letter says "Certificate of Dissolution or Revocation" go to that page for corrective steps.

Notice of Intent to Dissolve or Revoke

If you received a Notice of Intent to Dissolve or Revoke, your business is still active but owes a required filing or filings. Typically, this is the business's annual report, but it could also be your corporation's "first report." If the reason indicated on the notice indicates failure to file an annual report, then the business owes one or more annual reports. If it says failure to file first report, then the corporation needs to file its first report.

The missing filings must be accepted within 90 days of the date on the Notice of Intent to Dissolve or Revoke to avoid forfeiture or revocation of the business. 

Past Due Annual Reports or First Report 

  1. Go to business.ct.gov and select “Sign In” to create an account. You'll need an account to file an annual report.
  2. If you already have a business.ct.gov account, select "Log in." If you do not have account, select “Sign up now” to create one.

    • In order to create a new account, you will need to provide your name, a username, email address, mobile number and a password.
    • Once you have entered your information, you will need to verify your account. A verification code will be sent to your email address. You will need to enter the code to proceed.
  3. If you owe an annual report, select "file annual report" on the left side.  If you owe a first report, select "file org & first report."
  4. In order to file an annual report, you will need to search for your business using either the business name or business ID (ALEI) -- both are located on your Notice of Intent to Dissolve or Revoke. Once you locate the business for which you want to file, choose the radio button to select the business and to proceed.

After filing, you'll receive an email whether the submission is accepted. Once the missing filings are accepted, no further action is necessary.  

To confirm your business is in good standing, use the public business records search to find your business. If the status is "active" and the annual report due date is in the future, you are all set.
