Beneficial Ownership Information (BOI)

Beginning January 1, 2024, certain types of corporations, limited liability companies, and other similar entities created in or registered to do business in the United States must report information about their beneficial owners—the persons who ultimately own or control the company—to the Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN). This new law applies to most businesses registered with the Connecticut Secretary of the State.  

The Secretary of the State is not collecting this information, and we will not have access to the information reported to FinCEN. FinCEN, a part of the United States Department of Treasury, is collecting this information and may share it with authorized law enforcement and financial institutions.

This notice is provided as a courtesy to businesses registered in the State of Connecticut. All questions must be directed to FinCEN. Our staff is unable to answer questions regarding beneficial ownership reporting, including whether your particular business is exempt.
